NEOPLAY is a service of NEOLOGIS LLC (8 The Green STE R, Dover, DE 19901, United States, EIN 37-2234182, contact@neologis.com), hereinafter "NEOLOGIS". It allows a business, hereinafter "the Merchant", to create and publish a free online prize game for its customers. These terms apply to every account creation and every payment.
The Merchant acts as a business. It provides accurate information, keeps its password confidential and remains responsible for the use of its account. One account corresponds to one game.
The Merchant is the sole organiser of its game. It chooses its prizes, supplies them and hands them over to the winners. It is responsible for the game rules (template provided or its own text) and for their compliance with the law of its country, including any formalities (filing of the rules, declarations, taxation of prizes). It handles players' requests and complaints. NEOLOGIS only provides the technical platform and is not a party to the game.
The Merchant is the controller of its players' data. NEOLOGIS processes it on the Merchant's behalf, only to run the game: hosting, confirmation emails, prize draw and sending of winning codes. The Merchant uses players' contact details for marketing only with their consent. A game's data is deleted six months after the game is suspended, unless renewed.
Prices are those shown on the offer page when ordering, according to the Merchant's country. Payment is a one-off payment via PayPal (with or without a PayPal account) for the chosen period: there is no automatic renewal. The invoice is issued by NEOLOGIS LLC and available in the Merchant's account.
The service is intended for businesses: no right of withdrawal applies. As the service is available as soon as payment is made, a started period is not refunded, unless NEOLOGIS was unable to provide the service.
NEOLOGIS uses its best efforts to keep the service available, except for maintenance and events beyond its control. NEOLOGIS is not liable for the prizes, the rules, the Merchant's content or the relationship between the Merchant and its players. Its liability is limited to the amount paid for the current period.
The Merchant warrants that it holds the rights to its logo, photos and texts, and that its content is lawful. NEOLOGIS may suspend a game that breaches the law or these terms (fraud, disguised paid lottery, misleading or unlawful content), after informing the Merchant except in urgent cases.
These terms may change. The version accepted at the time of a payment applies to the corresponding period.
These terms are governed by the laws of the State of Delaware (United States). In the event of a dispute, the parties first seek an amicable solution by writing to contact@neologis.com.
